Transactions on the Platform

CEPP does not own or control the products or services that are made available on the platform unless expressly indicated, and is not responsible for the outcome of transactions that occur between users. However, we provide secure and encrypted transaction services to facilitate deals between users on the platform. Taking deal transactions off of the platform as a form of circumvention is grounds for account termination and is expressly prohibited. Users should beware of any individual or entity that attempts to take a deal off of the platform and we encourage this to be reported through our self-reporting tool. You acknowledge that you are ultimately responsible for vetting any deals or connections that you make through our Services and that CEPP does not guarantee the successful outcome of any deal, but we will work with users to ensure that transactions made using our transaction Services are safe and secure.

 

Income Generated on the Platform

All income generated by users through the use of our Services in accordance with our terms and conditions is exclusively owned by them, subject to any applicable platform fees and the terms of their platform partnership agreements. This income may be withdrawn off of the platform to their bank accounts or spent on the platform at the sole discretion of the user, unless otherwise restricted by applicable law. The platform is not responsible for calculating, reporting, or paying any taxes on behalf of its users, and users are solely responsible for ensuring they comply with all tax obligations related to any income generated on the platform.

 

Dispute Resolution

In the event of a dispute arising between users of our Services, CEPP will work with both parties to enforce our terms of use. However, you acknowledge that CEPP is not responsible for resolving disputes and that the ultimate responsibility for resolving disputes lies with the users themselves and their applicable governing body, law enforcement authority, or court of law.

 

Prohibited Use and Termination of Access

You agree not to use our Services for any illegal or unauthorized purpose, or in any way that violates these terms and conditions or any applicable laws or regulations. You also agree not to use our Services to harass, threaten, or harm other users or engage in any other inappropriate or offensive behavior. Any such use of our Services may result in the termination of your access to our Services. CEPP reserves the right to terminate or restrict your access to our Services at any time, without notice, for any reason, including but not limited to taking deal transactions offline. We encourage users to alert the platform using our self reporting tool if they become aware of any prohibited use so we can continue to keep the platform safe.

 

Intellectual Property

Our Services and all content and materials included on our Services, such as text, images, graphics, video, audio, logos, and software, are the property of CEPP or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may use our Services and the content and materials on our Services only for your personal, non-commercial use. You may not use our Services or the content and materials on our Services for any other purpose without our prior written consent.

 

Disclaimer of Warranties

Our Services are provided on an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, as to the operation of our Services or the information, content, materials, or products included on our Services. We do not warrant that our Services will be uninterrupted or error-free, and we will not be liable for any interruptions or errors.

 

Limitation of Liability

In no event shall CEPP be liable for any damages whatsoever, including but not limited to any direct, indirect, special, incidental, consequential, or punitive damages, arising out of or in connection with the use or inability to use our Services.

 

Indemnification

You agree to indemnify and hold CEPP, its affiliates, partners, vendors, services, and their respective officers, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of our Services, your violation of these Terms, or your violation of any rights of another.

 

Governing Law

These Terms and your use of our Services shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.
